Terms of Service

Effective Date: April 14, 2026

1. Acceptance of Terms

By accessing or using the SAASALE platform ("Platform"), located at saasale.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

SAASALE reserves the right to update these Terms at any time. We will notify registered users of material changes via email. Continued use of the Platform after changes constitutes acceptance.

2. Definitions

"Platform" refers to saasale.com, including all associated services, APIs, and tools.

"Buyer" refers to a registered user who browses, evaluates, or purchases SaaS businesses listed on the Platform.

"Seller" refers to a registered user who lists a SaaS business for sale or seeks a co-founder through the Platform.

"Project" refers to a SaaS business listed on the Platform.

"Deal Score" refers to the AI-generated investment score assigned to Projects based on verified financial data, SEO metrics, and AI analysis.

"Deep Analysis Report" refers to the paid AI-generated investment research document available for individual Projects.

"Deal" refers to a transaction between a Buyer and a Seller facilitated through the Platform.

3. Account Registration

To access certain features, you must create an account using Google OAuth or email authentication (magic link). You agree to:

Provide accurate and current information
Maintain the security of your account credentials
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Platform Services

4.1 Marketplace

SAASALE provides a marketplace for buying and selling SaaS businesses. The Platform offers AI-powered evaluation tools, verified financial data from payment providers, and infrastructure to facilitate secure transactions.

4.2 AI Deal Score

Each Project receives an AI Deal Score based on 23 metrics derived from verified financial data, SEO analysis, and AI evaluation. The Deal Score is provided for informational purposes only and does not constitute investment advice, a valuation, or a guarantee of any kind.

Deal Scores are visible to registered users. Sellers may choose to hide their Deal Score from public view.

4.3 Deep Analysis Reports

Buyers may purchase AI-generated Deep Analysis Reports on individual Projects. Reports are sold through credit packs:

1 Report — $29
5 Reports — $99
10 Reports — $149
20 Reports — $249

Reports are generated using AI (Claude by Anthropic) and third-party data sources. Report content is informational only and does not constitute financial, legal, or investment advice. Reports are non-refundable once generated.

A generated report for a specific Project is reused for subsequent Buyers unless the Project's scoring data has been updated since generation.

4.4 Public API

SAASALE offers a Public API for programmatic access to Project data:

Free Tier — basic project data, rate-limited to 20 requests per minute
Pro Tier — $29/month subscription, includes scoring data, same rate limits

API access is governed by these Terms and the API documentation at saasale.com/docs/api.

4.5 Deals and Transactions

The Platform facilitates the deal process through the following stages: Offer, Negotiation, Letter of Intent (LOI), Due Diligence (DD), Asset Purchase Agreement (APA), Escrow, and Closing.

All financial transactions between Buyers and Sellers are processed through Escrow.com, a licensed escrow service. SAASALE is not a party to the transaction between Buyer and Seller.

4.6 Legal Document Templates

The Platform provides templates for NDA, LOI, and APA documents generated client-side via jsPDF. These templates are provided for convenience only and do not constitute legal advice. Users are strongly encouraged to have all legal documents reviewed by qualified legal counsel before execution.

5. Listing and Fees

5.1 Listing Fee

Sellers may list a Project for sale by paying a one-time Standard Listing fee of $49, processed through Stripe. Pre-tracked Projects (those already in the SAASALE database from public sources) may be listed for free.

5.2 Transaction Commission

Upon successful completion of a Deal, SAASALE charges a commission of 3.7% to 5.6% of the transaction value on a sliding scale. This commission is split equally (50/50) between the Buyer and the Seller and is collected through Escrow.com.

5.3 Payment Processing

All listing fees and report purchases are processed through Stripe. All Deal escrow payments are processed through Escrow.com. SAASALE does not store credit card information. Payment processing is subject to the respective terms of Stripe (stripe.com/legal) and Escrow.com (escrow.com/terms).

5.4 Refund Policy

Listing fees are non-refundable. Deep Analysis Report credits are non-refundable once purchased. API subscription cancellations take effect at the end of the current billing period. For Deal-related disputes, the Escrow.com dispute resolution process applies.

6. Revenue Verification

Sellers may verify their revenue by connecting a read-only API key from their payment provider (Stripe, LemonSqueezy, Paddle, RevenueCat, and others). SAASALE retrieves only aggregated financial metrics (total revenue, MRR, active subscriptions, customer count). Personal customer data is never collected.

Revenue verification is optional but strongly recommended. Verified Projects receive a verification badge visible to Buyers. SAASALE does not guarantee the accuracy of self-reported data from unverified Projects.

7. User Obligations

All users agree to:

Provide truthful and accurate information in all listings, offers, and communications
Not use the Platform for any unlawful purpose or to facilitate fraud
Not attempt to manipulate Deal Scores, view counts, or other Platform metrics
Not scrape, crawl, or programmatically access the Platform except through the Public API
Not interfere with or disrupt the Platform or its infrastructure
Respect the intellectual property rights of other users and third parties
Not circumvent the Platform to complete transactions outside of the escrow process

Sellers additionally agree to:

Provide accurate financial data about their Projects
Disclose known material issues, liabilities, or risks associated with their Projects
Respond to Buyer inquiries in a timely manner during active Deals

Buyers additionally agree to:

Conduct their own due diligence before making purchase decisions
Not use confidential information obtained during due diligence for purposes other than evaluating the Deal

8. Intellectual Property

The SAASALE name, logo, Deal Score methodology, and AI analysis systems are the intellectual property of SAASALE. Users may not reproduce, distribute, or create derivative works from Platform content without written permission.

Users retain ownership of content they submit to the Platform (Project descriptions, financial data, communications). By submitting content, users grant SAASALE a non-exclusive license to display, process, and analyze the content for Platform operations.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SAASALE does not warrant that:

AI Deal Scores or Deep Analysis Reports are accurate, complete, or suitable for investment decisions
Revenue data from third-party payment providers is accurate or current
The Platform will be uninterrupted, error-free, or secure
Any Deal between Buyer and Seller will be completed successfully

AI-generated content, including Deal Scores and Reports, may contain errors, inaccuracies, or outdated information. Users should independently verify all data before making financial decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAASALE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE PLATFORM.

SAASALE's total aggregate liability for any claims arising from or related to these Terms or the Platform shall not exceed the total fees paid by the user to SAASALE in the twelve (12) months preceding the claim.

SAASALE is not a party to transactions between Buyers and Sellers and is not liable for the actions, omissions, or representations of any user.

11. Third-Party Services

The Platform integrates with third-party services including but not limited to:

Stripe — payment processing for listings, reports, and subscriptions
Escrow.com — escrow services for Deal transactions
Google — OAuth authentication
Anthropic (Claude) — AI analysis and report generation
Perplexity — data enrichment

Use of these services is subject to their respective terms and privacy policies. SAASALE is not responsible for the availability, accuracy, or actions of third-party services.

12. Communications

By creating an account, you consent to receive transactional emails related to your account activity, including:

Deal notifications and status updates
Buyer alert matches (if configured)
Newsletter digest (if subscribed, unsubscribe available)
Report completion notifications

You may manage your email preferences in your account settings.

13. Dispute Resolution

For disputes related to Deal transactions, the Escrow.com dispute resolution process applies per Escrow.com's terms of service.

For disputes related to Platform services (listings, reports, API), users should contact SAASALE at the contact information provided on the Platform. We will make reasonable efforts to resolve disputes within 30 business days.

These Terms shall be governed by and construed in accordance with applicable law. Any disputes not resolved through the above processes may be submitted to binding arbitration.

14. Termination

Either party may terminate the user's account at any time. Upon termination:

Active Deals will be handled according to their current stage and Escrow.com's terms
Unused Report credits are non-refundable
API subscriptions will terminate at the end of the current billing period
User data will be retained for 30 days, then deleted unless required by law

SAASALE reserves the right to immediately terminate accounts engaged in fraud, Terms violations, or illegal activity.
